2. Scope

These Terms and Conditions apply to the use of HAUFFE OS as a platform, including Customer Value functions, the HAUFFE OS Deal Win Engine, booked add-on modules, integrations with third-party systems such as HubSpot, the application app.hauffe.io and public HAUFFE pages to the extent they are relevant for contract handling, product information or support.

HAUFFE OS is intended exclusively for entrepreneurs, companies, legal entities under public law and special funds under public law acting in a business context. Contracts with consumers are excluded.

Deviating customer terms and conditions apply only if HAUFFE OS expressly agrees to them in writing.

3. Service

HAUFFE OS supports companies in recording and using customer value criteria, department weightings, segment logic, score logic, evaluations and exports in a structured way.

The HAUFFE OS Deal Win Engine additionally supports the structured assessment of opportunities or deals directly inside the HubSpot deal record, in particular based on customer value context, stakeholder intelligence, communication profile or DISC-related information, deal risks, overall score, closing probability, prioritized next steps and improvement or simulation potential where available in the product.

HAUFFE OS provides decision support. Scores, probabilities, recommendations and simulations do not replace independent sales, management, legal, tax or financial decisions. HAUFFE OS does not provide any closing guarantee, any guaranteed conversion, any guaranteed deal success, any guaranteed revenue increase or any specific economic outcome.

4. HubSpot Integration

The connection to HubSpot is established through HubSpot OAuth. HAUFFE OS does not receive HubSpot passwords.

Users must be authorized to install, connect and use the HubSpot integration. The integration may read deals, contacts and companies and, where the relevant function requires and permits it, may write data to designated HubSpot properties.

The app uses only the HubSpot permissions required for the provided functions. The customer is responsible for ensuring that personal and business data made available through HubSpot may be processed lawfully.

HubSpot is an independent third-party provider. HAUFFE OS Deal Win Engine is not a HubSpot product and is not operated by HubSpot.

Changes, outages, API limits or other restrictions at HubSpot may affect the integration.

Disconnecting or uninstalling the HubSpot app ends further access through that connection, but does not automatically delete all data already stored by HAUFFE.

5. Packages, Prices and Terms

All prices are net prices plus statutory VAT where applicable.

Customer Value – Guided Digital Access · 3 months: EUR 3,000 net, 2 departments included, each additional department EUR 300 net as a one-time charge until the end of the 3-month term.

Customer Value – Guided Digital Access Plus · 6 months: EUR 6,300 net, 3 departments included, each additional department EUR 1,200 net as a one-time charge until the end of the 6-month term.

Customer Value – Guided Digital Access Executive · 12 months: EUR 7,500 net, 3 departments included, each additional department EUR 1,200 net as a one-time charge until the end of the 12-month term.

Customer Value – Monthly Subscription: EUR 2,500 net per month, up to 2 departments included, each additional department EUR 150 net per month. Notice period: 2 weeks before the next billing period. In case of cancellation, access remains available until the end of the already paid period.

Deal Win Engine – Single: EUR 65 net per month, 1 user, billed monthly, 12-month contract term.

Deal Win Engine – Team 3: EUR 180 net per month, 3 users included, additional users EUR 60 net per month, billed monthly, 12-month contract term.

Deal Win Engine – Team 5: EUR 250 net per month, 5 users included, additional users EUR 50 net per month, billed monthly, 12-month contract term.

Deal Win Engine – Team 10: EUR 450 net per month, 10 users included, additional users EUR 45 net per month, billed monthly, 12-month contract term.

Unless otherwise agreed, yearly subscriptions renew for a further 12 months unless cancelled with 3 months' notice before the end of the term.

6. Users, Seats and Licenses

Use of individual modules may be seat-based. Access may be assigned only to authorized users.

Seat limits depend on the booked plan. Sharing or jointly using individual personal user accounts is not permitted unless expressly agreed otherwise.

The customer is responsible for inviting or enabling only those persons and departments that are authorized to use the services on behalf of the customer.

7. Additional Departments and Additional Users

Additional departments or additional users may be purchased depending on the product and plan.

For fixed-term packages, additional departments generally apply only until the end of the respective package term. For monthly models, additional services are billed in the relevant billing interval.

8. Payment and Stripe

Payments are processed through the payment service provider Stripe.

Access to productive HAUFFE OS functions is generally activated only after Stripe has confirmed successful payment server-side. Merely creating a checkout session, redirecting to Stripe or returning to a success page does not activate productive access.

Stripe may also be used for invoices, payment details, subscription management, cancellation and subscription adjustments. These functions may be provided through the Stripe Customer Portal.

9. HAUFFE Admin Grant

In addition to a successful Stripe payment, HAUFFE OS may manually grant access. This applies in particular to manual invoices or bank transfers, special agreements, test access, goodwill cases, internal demo or sales access, migration of existing customers and support cases.

Such access is granted exclusively by HAUFFE OS or an authorized HAUFFE admin. Customers or users cannot activate access for themselves.

10. Access, User Accounts and Roles

The customer receives access to the application through a user account. Use may include different roles, in particular Company Owner, Contributor and HAUFFE Admin.

The customer is obliged to keep access credentials confidential and to report unauthorized use without delay.

Contributors do not see billing or pricing information and cannot trigger purchases, cancellations or payment functions.

11. Renewal

Customers may renew their use before expiry. A discount of 15% may be granted for renewal before expiry.

The discount applies only before the current term expires. There is no entitlement to the discount after expiry.

A renewal becomes effective only once payment has been successfully confirmed or a HAUFFE admin grant has been issued.

12. Reactivation

After expiry, the customer may continue to log in if the account is still within the reactivation period. Reactivation is possible within 12 months after expiry.

Reactivation is granted without a discount. After the reactivation period has expired, data may be deleted or anonymized.

13. Cancellation

Fixed-term packages generally end when the agreed term expires unless they are renewed.

Monthly subscriptions may be cancelled with 2 weeks' notice before the next billing period. Yearly subscriptions with automatic renewal may be cancelled with 3 months' notice before the end of the term.

Cancellation is carried out through the provided billing functions, in particular through Stripe or the Stripe Customer Portal where enabled, or in writing where separately agreed.

In case of cancellation, access remains available until the end of the already paid period.

14. Availability and Maintenance

HAUFFE OS strives to provide high availability of the application. Uninterrupted availability is not guaranteed.

Maintenance, technical adjustments, security updates or disruptions at third-party providers may temporarily restrict availability.

15. Customer Obligations

The customer undertakes to provide only accurate and complete information, invite only authorized users, not upload unlawful content, not disrupt or misuse systems, keep access credentials secure and bring personal data into HAUFFE OS only lawfully.

The customer remains responsible for the lawfulness of the content and data entered by the customer and of data made available through connected systems.

16. Data, Content and Evaluations

Data provided by the customer or through connected systems may be processed technically to the extent required to provide the booked HAUFFE OS modules.

Within Deal Win Engine this may include in particular deal data, contact or stakeholder data, company data, customer value information, communication profiles, buying roles, stakeholder evidence, deal win inputs, assessment results and recommendations.

HAUFFE OS is entitled to process data technically to the extent necessary for providing the application, security, billing, troubleshooting, support and further development.

17. Rights in the Application

All rights in HAUFFE OS, the application, methodology, structure, texts, designs, evaluation logic, templates and other content remain with HAUFFE OS or Torben Hauffe unless expressly agreed otherwise.

The customer receives a simple, non-transferable right of use for the duration of the agreed term.

18. Results, Recommendations and Exports

HAUFFE OS may provide evaluations, recommendations, exports, scores, probabilities and prioritized next steps. These outputs are intended for the customer's internal business use and decision support.

Closing probability is a model-based assessment and not a guaranteed forecast. Recommendations do not replace independent sales or management decisions.

Disclosure to third parties is permitted only to the extent necessary for the customer's internal consulting, implementation or decision-making.

19. Liability

HAUFFE OS is liable without limitation in cases of intent, gross negligence, injury to life, body or health and under mandatory statutory provisions.

In cases of simple negligence, HAUFFE OS is liable only for breach of material contractual obligations. In such cases, liability is limited to the typical, foreseeable damage.

To the extent permitted by law, HAUFFE OS is not liable for failed deals, unrealized revenue, lost profits, entrepreneurial misjudgments or economic expectations.

20. Third-Party Providers

Third-party providers may be used to provide the service, in particular hosting, infrastructure, payment, security, communication or technical service providers.

Stripe is used for payment processing, invoices and subscription management.

HubSpot may be integrated as an independent third-party provider for integrations. Changes, outages or restrictions at third-party providers may affect the usability of individual functions.

21. Changes to Services or Prices

HAUFFE OS may further develop, improve or adapt services to technical, legal or economic requirements.

Price changes for ongoing subscriptions will be communicated to the customer in good time. Already paid fixed terms remain unaffected.

22. Final Provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

The place of jurisdiction is, to the extent permitted by law, the registered place of the provider.

If any provision of these Terms and Conditions is invalid, the validity of the remaining provisions remains unaffected.
